Evernorth Holdings has pushed back the expected Nasdaq debut of its XRPN shares by four days after an administrative delay affected the closing timeline for its business combination with Armada Acquisition Corp. II.
The company now expects the transaction to close on Friday, Oct. 9, with Evernorth’s Class A common stock scheduled to begin trading on Nasdaq under the ticker XRPN on Monday, Oct. 12.
Trading had previously been expected to begin on Oct. 8.
Evernorth said the delay is administrative and is not expected to prevent the transaction from being completed.
The revised timeline remains subject to customary closing conditions and Nasdaq listing requirements.

Evernorth delays XRPN Nasdaq debut by four days
Evernorth confirmed the revised schedule in an Oct. 6 update, explaining that an administrative issue had delayed the expected closing.
The company said:
“Due to an administrative delay that is not expected to affect the closing, we now expect to close on Friday, October 9th, with XRPN expected to start trading on Nasdaq on Monday, October 12th.”
An Oct. 6 filing with the U.S. Securities and Exchange Commission also confirmed the new timetable.
Armada II shareholders had already approved the proposed business combination during an extraordinary general meeting held on Sept. 30.
That vote cleared one of the most significant requirements needed for the deal to move forward.
Evernorth had initially expected to complete the transaction on Oct. 7 and begin Nasdaq trading the following day.
The revised schedule therefore delays the anticipated closing by two days and the start of XRPN trading by four days.
So far, Evernorth has not disclosed any material problem with the transaction itself and has described the delay only as administrative.
Shareholder approval does not complete the deal
Although Armada shareholders approved the combination, the vote did not automatically complete the merger.
Evernorth and Armada still need to satisfy or waive the remaining closing conditions.
The Nasdaq listing also remains subject to the exchange’s requirements.
Once the transaction is finalized, the combined business will operate as Evernorth Holdings Inc., with its Class A common shares expected to trade under the XRPN ticker.
The Sept. 30 shareholder vote was announced on Oct. 1, when Evernorth said investor support for the transaction remained intact.
With the vote completed, attention has now shifted toward the final closing process and the start of public trading.
Evernorth expects to hold about 473 million XRP
One of the most significant parts of Evernorth’s strategy is its planned XRP treasury.
The company expects to hold approximately 473 million XRP when the business combination closes.
According to Evernorth, that would make it the largest publicly traded pure-play XRP treasury company.
However, the projected XRP balance does not consist entirely of tokens purchased with cash.
Earlier transaction details indicated that Evernorth expects to hold at least 473,276,430 XRP at closing under the stated assumptions.
That total includes approximately 126.79 million XRP contributed by Ripple.
Another 84.37 million XRP was acquired for around $214 million.
Additional XRP entered the expected treasury through other contribution and transaction arrangements.
The structure means Evernorth’s XRP holdings are being assembled through a combination of direct purchases, contributed assets and financing arrangements.
Transaction expected to bring around $300 million in gross cash
Evernorth expects to receive approximately $300 million in gross cash proceeds before transaction-related expenses.
The amount includes $225 million from related private placements.
Another $30 million is expected to come from incremental convertible note financing, while approximately $48 million is expected from trust proceeds.
Investors have also contributed XRP directly as part of the broader transaction.
Evernorth has said its transaction and associated private placements have raised more than $1 billion.
Investors involved include Ripple, SBI Group, Arrington Capital, Pantera Capital, Kraken and GSR.
The involvement of several major crypto companies and investment firms gives the proposed public company significant exposure to the broader XRP ecosystem.
Evernorth wants to offer public-market XRP exposure
Evernorth CEO Asheesh Birla has positioned the company as a way for traditional investors to gain XRP exposure through a publicly traded vehicle.
Following shareholder approval, Birla said going public would provide investors with a regulated and transparent way to gain exposure to XRP while participating in the growth of the blockchain economy.
He also thanked shareholders for supporting the transaction as the company moved toward completing the deal.
The treasury-focused model is designed around building and managing a large XRP position inside a publicly traded company.
That approach could appeal to investors who want exposure to XRP through traditional equity markets rather than buying and storing the cryptocurrency directly.
$30 million convertible financing depends on closing
A portion of the financing connected to the transaction comes from $30 million in convertible senior payment-in-kind notes.
Evernorth agreed to the financing ahead of the shareholder vote.
The notes carry a 4% payment-in-kind rate and are scheduled to mature in 2031.
Their issuance remains tied to completion of the business combination.
Once the transaction closes, proceeds from the financing may be used to purchase additional XRP and support activities across the XRP ecosystem.
This means Evernorth’s treasury could continue growing beyond the roughly 473 million XRP expected at closing.
SEC registration statement cleared an earlier hurdle
Evernorth had already completed another important procedural step in August when the SEC declared its Form S-4 registration statement effective.
That development allowed Armada shareholders to formally consider and vote on the proposed business combination.
It ultimately paved the way for the Sept. 30 extraordinary general meeting.
However, an effective SEC registration statement does not mean the regulator has endorsed the investment or approved the merits of the deal.
The transaction still depended on shareholder approval, satisfaction of other closing conditions and compliance with Nasdaq listing requirements.
Evernorth had spent months updating its registration documents ahead of the planned listing.
A Form S-4 amendment filed in July included employment agreements for three senior executives while the company continued preparing for the XRPN debut.
Sept. 30 vote removed a major condition
The shareholder vote represented one of the largest remaining procedural hurdles.
With Armada shareholders approving the merger on Sept. 30, Evernorth moved closer to completing the public listing process.
The remaining work centers on finalizing the transaction and satisfying the conditions required for Nasdaq trading.
According to the Oct. 6 SEC filing, the companies now expect the business combination to close on or around Oct. 9.
XRPN shares are then expected to begin trading on or around Oct. 12.
The delay changes the timetable but, based on the company’s announcement, does not currently change the underlying structure of the transaction.
Evernorth aims to become a major public XRP treasury vehicle
If the transaction closes as planned, Evernorth will enter the public market with one of the largest corporate XRP positions disclosed to date.
The expected treasury of roughly 473 million XRP is at the center of the company’s investment proposition.
Rather than operating as a conventional cryptocurrency exchange or offering direct token custody to investors, Evernorth intends to provide XRP exposure through publicly traded equity.
Its strategy places the company within a growing category of public businesses using large cryptocurrency treasuries as a central part of their investment model.
Evernorth’s approach, however, is focused specifically on XRP.
Backing from companies and investors including Ripple, SBI Group, Pantera Capital and Kraken further connects the business to the digital asset industry.
The next key milestone is now the completion of the business combination on Oct. 9.
Provided the remaining closing conditions and Nasdaq requirements are satisfied, XRPN is expected to make its trading debut on Oct. 12.
