The battle between traditional banks and the cryptocurrency industry is entering a new phase.
Some of America’s largest financial institutions are preparing to challenge the regulator responsible for approving national trust bank charters for crypto companies, including Ripple, Circle, Paxos, and several other digital asset firms.
Although no lawsuit has been filed yet, the possibility alone is already influencing regulators, crypto companies, and the future of banking in the United States.
Why banks are opposing crypto bank charters
The Bank Policy Institute (BPI), a lobbying group representing major financial institutions such as JPMorgan Chase, Goldman Sachs, and Citigroup, has reportedly hired outside legal counsel to explore a lawsuit against the Office of the Comptroller of the Currency (OCC).
Rather than targeting Ripple or other crypto firms directly, the banks are challenging the OCC’s decision to grant national trust bank charters to digital asset companies.
Their concern is that these charters allow crypto businesses to gain many of the advantages of federally regulated banks without being subject to the same level of oversight and regulatory requirements.
What is a national trust bank charter?
A national trust bank charter is a federal license issued by the OCC that allows companies to provide trust and custody services across the United States.
Unlike traditional commercial banks, trust banks generally do not accept customer deposits or issue loans. Instead, they specialize in safeguarding assets and providing fiduciary services.
For crypto companies, obtaining this charter offers a significant advantage.
Instead of securing money transmitter licenses in every individual state, a federally chartered trust bank can operate nationwide under a single regulator, dramatically simplifying compliance.
Ripple and other crypto firms received approvals
The current dispute began after the OCC issued a series of conditional approvals to several major cryptocurrency companies.
Among the firms receiving conditional trust bank approvals were:
- Ripple
- Circle
- Paxos
- BitGo
- Fidelity Digital Assets
Additional approvals later followed for companies including Crypto.com, Bridge, and Stripe.
Within just a few months, more than ten companies had either received approvals or submitted applications, marking one of the largest expansions of crypto banking access in U.S. history.
Why traditional banks are concerned
Traditional financial institutions argue that crypto companies are benefiting from what they describe as “charter arbitrage.”
According to their position, these firms receive nationwide banking privileges without having to comply with many of the obligations imposed on full-service banks.
Those requirements include:
- Federal deposit insurance
- Bank holding company supervision
- Community lending obligations
- Stricter capital and liquidity standards
Banks believe this creates an uneven competitive environment where crypto companies receive significant regulatory advantages while avoiding many of the costs traditional banks must bear.
The legal debate centers on OCC rule changes
A key part of the dispute involves an OCC rule that took effect earlier this year.
The revised guidance expanded the description of activities permitted under national trust bank charters, allowing firms to engage in broader trust company operations and related services.
Supporters argue the rule simply modernizes banking regulations to reflect evolving financial technology.
Critics, however, believe the OCC effectively expanded its authority without clear authorization from Congress, potentially making the policy vulnerable to legal challenges under U.S. administrative law.
Why no lawsuit has been filed yet
Despite months of speculation, the banks have not officially taken legal action.
Many analysts believe that simply threatening litigation may already be achieving their objectives.
The possibility of a lawsuit encourages regulators to proceed more cautiously when reviewing new applications while also creating uncertainty for companies awaiting final approval.

Ripple remains in an important position
Ripple continues to hold only a conditional approval, meaning additional regulatory requirements must still be satisfied before its trust bank becomes fully operational.
Because of that, any future legal challenge could directly affect the company’s banking ambitions.
Circle, meanwhile, recently advanced further by receiving final approval, demonstrating that the pathway remains open despite the ongoing controversy.
What this means for the crypto industry
The outcome of this dispute extends well beyond Ripple.
National trust bank charters could become one of the most important foundations for institutional cryptocurrency adoption in the United States.
They provide:
- Nationwide regulatory oversight.
- Easier custody services for institutional investors.
- Support for stablecoin reserve management.

If the OCC successfully defends its position, more crypto firms may pursue federal charters instead of navigating complex state-by-state licensing requirements.
