Shanghai-based Cango Inc. has signed definitive agreements to sell off its China operations for $351.94 million in cash, marking a bold pivot from its traditional automotive platform to a full-fledged cryptocurrency mining business.
The deal represents a transformative shift in strategy, positioning Cango as a potential proxy for institutional Bitcoin mining exposure amid rising global interest in digital assets.
Strategic Exit from China
The buyer, Ursalpha Digital Limited, a company incorporated in the British Virgin Islands, will acquire Cango’s operations in mainland China. The deal structure includes an initial cash payment of $210.64 million upon closing, with the remaining funds to be disbursed based on tax obligations and credit risk reductions, according to the company’s press release.
This move follows a non-binding proposal in March from Enduring Wealth Capital Limited (EWCL) to acquire control of Cango while facilitating the sale of its People’s Republic of China (PRC) operations.
Before the sale is finalized, it requires shareholder approval and an internal restructuring to separate the China-based business from Cango’s offshore interests—including its emerging Bitcoin mining and automotive trading arms outside China.
Cango also intends to deregister as a “China Concept Stock”, removing itself from Chinese regulatory oversight. However, this deregistration is subject to approval from China’s securities regulators. The buyer reserves the right to revoke the deal if the deregistration is rejected or if EWCL fails to finalize a separate stock acquisition agreement with Cango’s co-founders.
Pivot Toward Crypto: Bitcoin Mining Takes Center Stage
Cango’s transformation into a crypto-native company is already well underway. The firm has previously agreed to acquire Bitcoin mining rigs with a total hashrate capacity of 18 exahashes per second (EH/s) through a share-settled deal with Golden TechGen Limited.
However, the planned disposal of its PRC business has prompted modifications to this agreement, with further amendments anticipated to align with the company’s new operational focus.
By shedding its China-based operations, Cango is free to reallocate capital and infrastructure toward crypto mining. This move strategically aligns Cango with the rapidly growing digital asset economy, particularly in the post-halving era, when efficient, large-scale miners are expected to dominate.
A New Identity for Cango
The sale marks a dramatic evolution for Cango, once known primarily for its automotive services platform in China. With its exit from the Chinese market and its crypto pivot, the company is rebranding itself as a global Bitcoin mining operation, potentially attracting a new class of investors.
If the transition proceeds as planned, Cango could soon join the ranks of other public companies offering exposure to Bitcoin mining infrastructure—at a time when institutional interest in the sector is rapidly increasing.
