The European Securities and Markets Authority (ESMA) believes tokenization could fundamentally reshape global capital markets and Europe must move quickly to keep up with developments in the United States and the United Kingdom.
Speaking at the Capital Markets in the Digital Age conference in Dubrovnik, Croatia, ESMA’s executive director Natasha Cazenave called tokenization a “transformational” trend that could expand access to markets, lower issuance costs, and enable more efficient secondary trading.
Why Tokenization Matters
Cazenave explained that tokenization is more than just a tech upgrade it has the potential to embed compliance, reporting, and transparency directly into digital assets. That, in turn, could give regulators tools for real-time oversight while reducing costs for businesses.
“This is not just a technological evolution,” she said. “It could lead to a transformational change of our markets. With the right legal framework, it can improve interoperability, transparency, and cross-border efficiency.”
Real-world assets already launched onchain show how tokenization can cut issuance costs and broaden investor access. Still, challenges remain, including illiquidity, interoperability gaps, and regulatory clarity.
ESMA’s View on Regulation
ESMA believes Europe can lean on the Markets in Crypto-Assets Regulation (MiCA) to help manage risks, protect investors, and keep pace with other global financial hubs. Policymakers already have an understanding of the risks involved thanks to years of monitoring crypto markets, and that experience could help accelerate oversight of tokenized assets.
Cazenave noted that the EU has already been a leader in certain areas: in 2024, more than 50% of tokenized fixed-income instruments launched onchain came from European markets.
Global Race for Leadership
The push for tokenization isn’t limited to Europe. Major financial players like BlackRock and Fidelity are rolling out tokenized investment products, while platforms such as Coinbase, Kraken, and Robinhood are experimenting with tokenized stocks. The global market for tokenized assets already valued around $600 billion is expected to expand rapidly in the coming years.
Governments are also testing the waters. The U.S. is working on a tokenization roadmap backed by the President’s Working Group on Digital Assets, while the U.K. has begun setting up its own regulatory structure.
With adoption accelerating worldwide, Cazenave warned that the EU cannot afford to fall behind:
“Given the speed at which the market is expected to grow, it will be important to keep pace and agree swiftly on the way forward.”
