Bitcoin treasury company Twenty One Capital is facing a compliance challenge after receiving a warning from the New York Stock Exchange (NYSE) regarding the composition of its audit committee.
The issue emerged shortly after a major ownership reshuffle involving SoftBank and Tether, highlighting how governance changes can create unexpected regulatory hurdles even when business operations remain unchanged.
While the warning does not threaten an immediate delisting, the company now faces a tight deadline to restore compliance with NYSE requirements.
NYSE Flags Audit Committee Deficiency
Twenty One Capital disclosed that it received a notice of non-compliance from the NYSE on May 29, 2026.
According to the company, the exchange determined that its audit committee no longer meets the minimum requirement for independent directors. NYSE rules require listed companies to maintain a sufficient number of independent members on their audit committees to ensure proper oversight and governance.
The company has until June 5 to correct the issue.
If compliance is not restored by that date, the NYSE plans to place a below-compliance indicator on Twenty One’s stock beginning June 9. Such a marker serves as a warning to investors that the company is not currently meeting all exchange governance standards.
Importantly, the notice does not represent a delisting decision. Instead, it is a compliance warning designed to encourage corrective action.
SoftBank’s Exit Triggered the Problem
The governance issue stems from a significant ownership transaction completed on May 19.
Tether International purchased SoftBank’s entire position in Twenty One Capital, acquiring 89.1 million Class A shares. At the same time, SoftBank’s 89.1 million Class B shares were canceled.
The transaction also terminated a governance agreement that had previously connected Twenty One, Tether Investments, SoftBank, and Bitfinex.
Following the sale, SoftBank-linked directors Jared Roscoe and Vikas J. Parekh stepped down from the company’s board and related committees.
The company emphasized that the resignations were not connected to any disagreements regarding business operations, policies, financial reporting, or corporate practices.
However, Roscoe’s departure created an unintended consequence.
As a member of the audit committee, his resignation left the committee below the minimum number of independent directors required under NYSE rules.
Company Plans Quick Resolution
Twenty One has stated that it intends to resolve the issue as quickly as possible.
Management said it expects to appoint a new audit committee member who satisfies both NYSE independence requirements and SEC Rule 10A-3 standards.
Once the company appoints a qualified director and restores compliance, the NYSE warning indicator can be removed.
For now, the company remains listed and continues operating normally.
However, the filing also noted that prolonged non-compliance could eventually expose the company to additional regulatory risks if the deficiency is not corrected.

The company, which trades under the ticker XXI, is widely known as a Bitcoin treasury firm backed by Tether, Bitfinex, and Cantor Fitzgerald. It is led by Strike founder Jack Mallers and launched with more than 43,500 Bitcoin on its balance sheet.
Following Tether’s acquisition of SoftBank’s stake, the stablecoin issuer now has greater influence over the company’s direction.
Recent reports have also suggested that Tether supports a broader merger strategy involving Twenty One, Strike, and Elektron Energy. Such a combination could potentially expand the business beyond Bitcoin treasury management into payments, financial services, and Bitcoin mining operations.
