Michael Saylor’s Bitcoin-focused company, Strategy Inc., is tweaking its financing approach relaxing restrictions on stock issuance just weeks after pledging tighter rules. The move comes as investor concerns mount over dilution, even while the firm sits on massive Bitcoin gains.
Stock Issuance Rules Get Softer
Until now, Strategy had promised not to issue new shares if its stock was trading below 2.5 times the value of its Bitcoin holdings, a safeguard Saylor dubbed the “mNAV premium.” The rule was designed to calm investors worried about excessive dilution, with limited exceptions allowed to cover debt interest or preferred equity dividends.
But according to a Bloomberg report on Aug. 18, the company has updated its policy. Now, it can sell stock below that 2.5x threshold whenever management deems it advantageous.
Analysts like Brian Dobson of Clear Street say the added flexibility lets Saylor act more opportunistically in raising capital for new Bitcoin purchases.
Preferred Equity Faces Uncertain Demand
The change comes at a delicate moment. In July, Saylor unveiled a novel perpetual preferred equity program, but demand has been mixed. Falling premiums on Strategy’s shares, combined with competition from Bitcoin ETFs and rival crypto-treasury firms, have tested investor appetite for the product.
Slower Buys, Still Huge Reserves
Strategy’s Bitcoin accumulation has slowed in recent weeks. On Aug. 18, the company disclosed a purchase of 430 BTC for $51.4 million, following a 155 BTC buy the week prior.
In total, Strategy now holds 629,376 BTC at an average cost of $73,320 per coin. With Bitcoin trading near $119,666, the firm is sitting on over $26 billion in unrealized gains.
Despite those impressive reserves, Strategy’s stock is down 22% since November, underperforming Bitcoin’s 23% rally over the same period. Short sellers, including Jim Chanos, have questioned whether the company’s preferred stock offerings can make up for weaker demand in its traditional at-the-market equity program.
The Bigger Picture
The updated rules show how quickly Saylor’s aggressive Bitcoin financing strategy is being tested.
