The digital asset manager behind the Grayscale Bitcoin Trust (GBTC) and Ethereum Trust (ETHE) has confidentially filed a draft S-1 registration with the U.S. Securities and Exchange Commission (SEC), signaling its intent to go public. While the company hasn’t shared a timeline or specific structure yet, it confirmed that the IPO process will move forward based on SEC feedback and broader market conditions.
A Strategic, Quiet Move
The confidential nature of the filing allows Grayscale to negotiate and refine its IPO plan with the SEC behind closed doors a strategy often used by firms looking to avoid premature market speculation. This is the same route taken by crypto exchange Gemini, which filed confidentially in June after the SEC concluded its investigation without recommending enforcement action.
