The notes can be redeemed, repurchased, or converted under specific terms, with an initial conversion price of $6.86 per share representing a 30% premium over Bitfarms’ Oct. 16 Nasdaq closing price of $5.28.
To minimize shareholder dilution from future conversions, Bitfarms will also enter into capped call transactions. These agreements cover the number of shares underlying the notes and set a cap price of $11.88 per share roughly a 125% premium over the latest market price.
Funds for the capped calls will come from the offering’s proceeds or existing cash reserves.
