ALT5 Sigma, a Nasdaq-listed fintech firm with ties to the Trump family’s World Liberty Financial, is pushing back against rumors that it is facing a regulatory investigation.
Rumors Sparked by SEC Speculation
Reports earlier this week suggested the U.S. Securities and Exchange Commission (SEC) was looking into possible earnings inflation and insider share sales related to ALT5’s recent $1.5 billion treasury raise. At the center of the chatter was venture capitalist Jon Isaac, who some outlets claimed had drawn regulators’ attention due to his alleged involvement with the firm.
Following the speculation, ALT5’s shares fell 10.5% on Tuesday to $10.48, before slipping even further in after-hours trading to $5.39.
ALT5 Responds: “No Investigation”
ALT5 quickly issued a statement rejecting the reports. The company emphasized that Isaac was neither a current nor former president, nor an adviser, and that it was unaware of any SEC probe into its operations.
“These claims are misleading and inaccurate,” the company said, while distancing itself from allegations tying Isaac to leadership or insider activity.
Isaac himself took to X (formerly Twitter) to deny the allegations, stating:
“These reports appear to contain significant factual errors regarding my role and current regulatory status.”
He added that while he remains a shareholder, he is not under investigation and “wants nothing but the best for the company.”
SEC Filings Tell a Different Story
Despite the denials, filings paint a more nuanced picture. According to a December 2024 SEC filing, ALT5 entered into a two-year consulting agreement with Isaac starting in March 2024.
Under that deal, Isaac was expected to advise on growth strategy, restructuring, client acquisition, and product development, while providing weekly updates to management.
The contract also included a $540,000 promissory note, which Isaac later converted along with accrued interest into 465,753 ALT5 Sigma shares.
Trump Family Ties Draw Scrutiny
ALT5’s connections to the Trump family have only added fuel to the controversy. Following the August funding round, Eric Trump joined ALT5’s board, while WLFI co-founder Zach Witkoff was appointed chairman.
The arrangement left ALT5 holding about 7.5% of WLFI’s token supply, directly linking its balance sheet to the Trump family’s crypto venture.
This partnership has raised eyebrows in Washington. Prominent Democrats, including Elizabeth Warren and Alexandria Ocasio-Cortez, have called for a closer look at potential conflicts of interest and self-dealing between Trump-affiliated crypto businesses and ALT5.
For now, ALT5 insists there is no regulatory probe, but the conflicting narratives combined with its political ties have left shareholders uneasy.
