Gemini, the crypto exchange founded by the Winklevoss twins, has brought in a heavyweight partner ahead of its long-anticipated initial public offering (IPO). According to Reuters, Nasdaq will invest $50 million in Gemini shares through a private placement at the IPO, set to launch later this week.
A Strategic Partnership
The tie-up isn’t just about money. The deal gives Nasdaq’s clients access to Gemini’s crypto custody and staking services, while Gemini’s institutional customers will be able to tap into Nasdaq’s Calypso platform for managing and tracking trading collateral.
It’s a move designed to bring the two financial ecosystems closer together: traditional markets and digital assets.
IPO Details
Gemini plans to sell 16.67 million shares priced between $17 and $19 each, which could raise up to $317 million. The listing would value the company at roughly $2.22 billion. Shares will trade on Nasdaq under the ticker GEMI, with Goldman Sachs and Citigroup acting as lead bookrunners.
Challenges Beneath the Surface
Despite the buzz, Gemini is heading into its IPO with financial headwinds. The exchange reported a net loss of $282.5 million on $68.6 million in revenue for the first half of this year. That’s a sharp increase from its $41.4 million loss on $74.3 million in revenue during the same period last year.
Funds raised from the IPO will go toward general operations, debt repayment, and expanding stablecoin and crypto services including Gemini’s stablecoin, GUSD.
Market Timing
Gemini’s IPO lands in a more favorable environment than just a year ago. The U.S. equity market is rebounding, with recent high-profile offerings from Figma and Firefly Aerospace attracting strong investor demand. If that enthusiasm holds, Gemini may benefit from the renewed appetite for public listings.
The Bottom Line
Gemini is betting that a Nasdaq partnership and the strength of its brand can help overcome mounting losses and position it for growth. For the Winklevoss twins, the IPO marks a pivotal moment: a chance to reassert Gemini’s role in an increasingly competitive crypto exchange landscape now with one of Wall Street’s biggest names on its side.
