Windtree, the struggling biotech that rebranded itself as a BNB treasury firm, is facing imminent delisting from the Nasdaq after failing to meet minimum share price requirements.
Nasdaq Delisting on August 21
According to filings with the Securities and Exchange Commission (SEC), Nasdaq will delist Windtree on August 21 due to non-compliance with its $1 minimum bid price rule.
Windtree, trading under the ticker WINT, has seen its share price collapse 97.74% in the past six months, now sitting at just $0.11.
Losing its Nasdaq listing could be a critical blow. Without access to the exchange, Windtree would no longer serve as an easy public-market proxy for BNB exposure, undermining its attempt to position itself as “the BNB MicroStrategy.”
From Biotech to BNB Treasuries
Once a struggling biotech firm, Windtree pivoted earlier this year into the crypto space by announcing plans to build a massive BNB treasury reserve.
- On July 16, the company revealed a deal to purchase $60 million worth of BNB from Build and Build Corp., with an option to acquire up to $140 million more bringing potential BNB purchases to $200 million.
- Just a week later, on July 24, Windtree said it had secured $520 million in financing, including $500 million from an equity line of credit with an undisclosed financier and $20 million from a direct stock purchase by Build and Build Corp.
The pivot was designed to mirror MicroStrategy’s Bitcoin strategy, turning Windtree into a leveraged vehicle for traditional investors looking to gain exposure to BNB.
What Delisting Means
If delisted, Windtree will lose visibility and liquidity on a major U.S. exchange, making it far harder for retail and institutional investors to buy its stock. That in turn could derail its BNB treasury play, which depended heavily on access to public markets.
With shares down nearly 98% in half a year, the company’s future now hangs in the balance. For Windtree, Nasdaq’s decision could mark the end of its short-lived experiment as a BNB treasury vehicle.
