Armada Acquisition Corp. II shareholders are set to vote on a proposed merger that would create a publicly traded company built around a large XRP treasury.
The Sept. 30 shareholder meeting is scheduled for noon Eastern and will determine whether the business combination involving Armada, Pathfinder Digital Assets, Evernorth and Ripple-related transaction parties can move forward.
If shareholders approve the deal and the remaining closing conditions are satisfied, the combined company is expected to seek a Nasdaq listing under the ticker XRPN.
However, a favorable vote would not mean the transaction has already closed, nor would it mean the company is immediately trading with its final XRP balance.
The more important question for investors is what will actually sit behind each public share after the deal closes.
That includes not only XRP, but also cash, debt, financing obligations, warrants, executive equity, redemption effects and the final number of shares outstanding.
Evernorth’s planned XRP treasury could exceed 473 million tokens
The definitive proxy statement projects that the combined company could hold at least 473,276,430 XRP at closing, based on the transaction assumptions currently disclosed.
That figure has attracted significant attention, but it is important to understand where the tokens come from.
The projected treasury includes several different components rather than one large open-market purchase.
According to the filing, the planned balance includes a 600,000 XRP advance, a delayed contribution of 200,000 XRP, roughly 211.32 million XRP associated with the sponsor, another 50 million XRP related-party contribution and approximately 126.79 million XRP contributed by Ripple.
The company also acquired about 84.37 million XRP using $214 million in cash at an average price of approximately $2.53657 per token.
That means only a portion of the projected 473 million XRP balance is directly tied to a disclosed cash purchase.
Ripple is contributing a significant part of the treasury
Ripple’s planned contribution of approximately 126.79 million XRP represents about 26.8% of the projected treasury balance.
Meanwhile, the sponsor-related contribution of roughly 211.32 million XRP represents about 44.6%.
These percentages describe where the XRP comes from.
They do not automatically determine how much voting control Ripple or the sponsor will have in the listed company.
Corporate ownership is determined by the equity structure, share allocations and other transaction terms rather than by the token contribution alone.
This distinction matters because shareholders will own equity in Evernorth, not a direct claim on a fixed number of XRP tokens.
XRPN shares would not be the same as owning XRP directly
If the transaction closes, investors buying XRPN shares would own stock in a company that holds XRP.
They would not own XRP directly and would not necessarily be able to redeem shares for a specific amount of the token.
The company’s share price could therefore trade above or below the value of the XRP and other assets it holds.
Corporate expenses, debt, executive compensation, equity issuance, warrants and other liabilities can all affect the value delivered to common shareholders.
This makes the structure fundamentally different from simply holding XRP in a wallet or through another direct-exposure product.
Only part of the XRP treasury was bought with disclosed cash
Of the projected 473.28 million XRP balance, approximately 84.37 million tokens were specifically identified as being purchased with $214 million.
That represents roughly 17.8% of the projected total.
The rest of the balance comes from contributions and other transaction arrangements.
This means it would be misleading to describe the full 473 million XRP as a new market purchase triggered by the merger.
A shareholder approval vote would also not suddenly create hundreds of millions of tokens worth of new buying pressure.
Much of the treasury has already been assembled or committed through existing transaction agreements.
XRP price changes could significantly affect the treasury’s value
The value of the proposed treasury can change dramatically depending on XRP’s market price.
For example, if XRP were valued at $1.50, the projected 473.28 million-token treasury would be worth roughly $709.9 million.
At $2.50 per token, the same XRP balance would be worth approximately $1.18 billion.
These figures are only illustrations.
They are not estimates of the company’s total valuation because they do not account for cash, liabilities, debt, transaction costs or the number of shares outstanding.
The example simply shows how strongly Evernorth’s asset value could move with XRP.
SPAC redemptions could reduce the cash available after closing
Another important part of the transaction is the level of shareholder redemptions.
Armada shareholders had until Sept. 28 to request redemption of their public shares.
A shareholder who redeems generally receives their portion of the cash held in the SPAC trust and gives up their future equity interest in the combined company.
Importantly, redemption and voting are separate choices.
A shareholder could support the transaction and still redeem their shares.
The number of redemptions will therefore affect how much cash remains available to the combined company after closing.
Less cash does not necessarily mean fewer XRP
Armada reported approximately $241.2 million in its trust as of June 30, with around 23 million shares potentially subject to redemption.
Those figures were historical and should not be treated as the final closing numbers.
If a large number of shareholders redeem, less cash may be transferred from the SPAC trust to Evernorth.
However, that does not necessarily reduce the XRP already contributed or committed to the transaction.
This creates an important difference between Evernorth’s token holdings and its cash position.
A company can hold a large amount of XRP while still having limited liquid cash available for salaries, legal expenses, acquisitions and other operating costs.
Redemptions could change the economics for remaining shareholders
Redemptions can also affect the number of public shares participating in the combined company.
Fewer public shares might appear to increase the amount of XRP associated with each remaining public share.
However, public shareholders will not be the only owners of Evernorth.
Ripple, sponsors, PIPE investors and other transaction participants may also receive shares.
Because of this, investors need the final post-closing capitalization table before calculating XRP exposure per fully diluted share.
Without that information, it is too early to describe redemptions as automatically positive or negative for remaining shareholders.
Evernorth also has a conditional $30 million financing
The transaction includes a separate $30 million financing arrangement that would only become effective if the business combination closes.
The financing consists of convertible senior payment-in-kind notes carrying a 4% rate and maturing in 2031.
The proceeds may be used to purchase XRP or support other XRP ecosystem activities.
However, that does not mean the entire $30 million will necessarily be used to buy XRP.
The company has discretion over how the proceeds are deployed within the permitted purposes.
The convertible note creates both cash and liabilities
The $30 million financing could provide Evernorth with additional liquidity.
That may become especially important if SPAC redemptions reduce the amount of cash received from Armada’s trust.
But the financing is not free capital.
The notes represent a senior financial obligation and may eventually convert into equity.
Because the interest is payment-in-kind, the interest can be added to the outstanding note balance rather than paid immediately in cash.
At a simple 4% annual rate, $30 million would generate approximately $1.2 million in interest over one year before considering compounding and other contractual terms.
A future conversion could also increase the number of common shares outstanding.
The key metric may be XRP per fully diluted share
For investors evaluating Evernorth, the headline XRP balance may be less important than the amount of net asset value supporting each fully diluted share.
A more useful calculation would start with the market value of the company’s XRP and other assets.
Cash would then be added.
Debt and other liabilities would be subtracted.
The resulting net asset value could then be divided by the fully diluted number of shares.
That share count would need to include securities that could become common stock under their terms, including warrants, executive awards and convertible financing.
The final closing documents will be necessary to calculate this accurately.
Executive compensation also affects shareholder exposure
Evernorth is expected to operate as a real public company rather than simply a passive XRP wallet.
That means executive compensation, operating expenses and governance costs will also affect shareholder value.
Earlier filings disclosed employment agreements and equity awards for senior executives.
Those awards could increase the number of shares outstanding as they vest.
Even if the company’s total XRP holdings rise, existing shareholders could receive less XRP exposure per share if equity issuance grows faster than the token treasury.
This is why the denominator in the calculation matters just as much as the total XRP balance.
Warrants can also create future dilution
Warrants give holders the right to purchase new shares at a specified price.
When exercised, they can increase the total number of shares outstanding.
However, they may also bring additional cash into the company.
The same two-sided effect applies to convertible notes.
The company receives financing when the notes are issued, but shareholders may face dilution later if the debt converts into equity.
Investors therefore need to consider both assets and claims when evaluating the transaction.
A yes vote would not trigger a 473 million XRP purchase
One of the biggest misconceptions surrounding the deal is that shareholder approval could immediately result in hundreds of millions of XRP being purchased in the market.
That is not what the proxy describes.
The 473.28 million XRP figure is a projected treasury balance assembled through multiple sources.
Only part of it represents XRP purchased with cash.
A yes vote would authorize the transaction to continue toward closing.
Any additional XRP buying would depend on the cash available after redemptions, financing proceeds, management decisions and the market price of XRP.
XRP market impact will depend on future purchases
The transaction could still create a new source of XRP demand over time.
Evernorth may choose to use cash, financing or future capital raises to acquire additional tokens.
However, the scale and timing of those purchases remain uncertain.
The company’s future market impact should therefore be measured through actual purchases rather than the headline size of the treasury.
The existing 473 million-token projection should not be treated as a future spot-market order.
Ripple’s involvement does not make Evernorth Ripple stock
Ripple is directly involved in the transaction and is contributing approximately 126.79 million XRP to the proposed treasury.
However, Evernorth shares would remain equity in Evernorth.
They would not represent ownership in Ripple Labs.
Likewise, ownership of Evernorth stock would not give shareholders control over the XRP Ledger.
Ripple, Evernorth and the XRP Ledger remain separate entities even though their interests overlap through the transaction.
What investors should watch after the vote
The shareholder vote is only one stage of the deal.
The first important update will be the official voting result.
After that, investors should watch for the final redemption count and the amount of cash remaining in the SPAC trust.
The closing documents should then provide the final XRP balance, the number of shares issued, the treatment of warrants, any convertible financing and the resulting capitalization structure.
Those figures will make it possible to calculate how much XRP and net asset value effectively support each diluted share.
The post-closing numbers matter more than the headline treasury
The most useful starting point after the deal closes will be the proxy’s projected 473,276,430 XRP.
Investors can then compare that figure with the actual post-closing treasury.
Any difference should be explained through additional purchases, contributions, sales, transfers or closing adjustments.
The same approach should be used for cash and liabilities.
Rather than focusing only on how much XRP the company owns, investors should track whether XRP exposure per share improves or declines over time.
The shareholder vote is only the beginning
The Sept. 30 meeting can determine whether shareholders approve the proposed business combination.
It cannot determine the future price of XRP or the eventual value of XRPN shares.
Those outcomes will depend on the final balance sheet, redemption levels, future financing, corporate expenses and management’s capital-allocation decisions.
For shareholders, the real investment is not simply 473 million XRP.
It is a residual equity claim on a company that owns XRP while also carrying cash, liabilities, financing agreements, executive compensation and other corporate obligations.
