stops buying Bitcoin as preferred stock buybacks take priority

Strategy has gone two consecutive weeks without buying Bitcoin, selling Bitcoin or issuing new shares, marking a noticeable shift from the capital-raising model that made the company one of the world’s largest corporate Bitcoin holders.

Instead of adding more BTC, the company spent $139.3 million in cash repurchasing 1,420,467 shares of its STRC preferred stock.

Strategy’s Bitcoin holdings remained unchanged at 845,050 BTC, acquired for approximately $63.73 billion at an average price of around $75,412 per Bitcoin.

The move suggests the company is currently prioritizing balance-sheet management and preferred-stock obligations over additional Bitcoin accumulation.

Strategy pauses Bitcoin purchases again

For years, investors following Strategy became accustomed to regular Bitcoin purchases.

The company frequently raised capital through equity offerings and used the proceeds to expand its BTC holdings.

That pattern has now paused.

According to Strategy’s latest regulatory filing covering Sept. 8 through Sept. 13, the company:

Bought no Bitcoin

Sold no Bitcoin

Issued no common shares through its at-the-market program

Instead, Strategy used cash from its balance sheet to buy back its own preferred stock.

The company repurchased 1,420,467 STRC shares for $139.3 million.

This followed another $176.3 million spent on preferred-stock repurchases during the previous week.

The important distinction is that Strategy did not finance these purchases by selling Bitcoin or issuing additional shares.

The money came directly from available cash.

Strategy still holds 845,050 Bitcoin

Strategy’s Bitcoin position remains unchanged at 845,050 BTC.

The company has spent approximately $63.73 billion building the position, giving it an average acquisition price of roughly $75,412 per BTC.

Its most recent Bitcoin purchase came on Aug. 31, when Strategy acquired 4,603 BTC for around $370 million.

That purchase ended a previous 10-week pause in accumulation.

With Bitcoin recently trading around the $77,000 level, Strategy’s overall holdings remain slightly above their average purchase price.

However, management appears to have concluded that buying back preferred shares currently offers a more attractive use of capital than purchasing additional Bitcoin.

Why Strategy is buying back preferred stock

The decision becomes clearer when looking at the economics of STRC.

STRC has a stated value of $100 per share and carries an annualized cash dividend of around 12%.

Strategy has been repurchasing the preferred shares while they trade below their stated value.

The latest $139.3 million repurchase covered 1,420,467 shares, implying an average purchase price of roughly $98 per share.

Buying a share below $100 allows Strategy to retire a future dividend obligation at a discount.

Each preferred share bought back removes approximately $12 per year in dividend obligations based on the current annualized dividend rate.

From a conventional capital-allocation perspective, that can make the buyback attractive.

Strategy is effectively reducing a high-cost financial obligation while paying less than the security’s stated value.

Preferred buybacks now exceed recent Bitcoin spending

Strategy has spent approximately $811.5 million on STRC repurchases since July.

That is more than twice the approximately $370 million the company spent on its most recent Bitcoin purchase.

The comparison highlights how significantly the company’s short-term capital allocation has shifted.

Instead of using available funds to expand its Bitcoin position, Strategy is currently using cash to strengthen its capital structure.

The decision does not necessarily mean management has lost confidence in Bitcoin.

It may simply mean the company believes reducing its preferred-stock obligations provides a better risk-adjusted return at current prices.

Still, the shift matters because Strategy’s investment narrative has long centered on converting capital into increasing amounts of Bitcoin.

Strategy has also stopped issuing common stock

Another important part of the latest filing is the absence of new common-share issuance.

Strategy sold no shares under its at-the-market offering program during the period.

Historically, this mechanism played a central role in the company’s Bitcoin strategy.

When Strategy shares traded at a significant premium to the value of its underlying Bitcoin holdings, the company could issue new stock and use the proceeds to purchase more BTC.

That created a cycle:

Issue equity at a premium, buy Bitcoin, increase Bitcoin exposure per share and potentially support the equity premium.

That mechanism is currently inactive.

One possible explanation is that management does not want to dilute existing shareholders while Strategy’s share-price premium to its Bitcoin holdings remains compressed.

Another possibility is that current market conditions simply make issuing new equity less attractive.

Either way, Strategy’s primary capital-raising engine is temporarily idle.

Strategy’s cash position falls

After the preferred-stock repurchase, Strategy’s available cash fell to approximately $1.30 billion.

Its dedicated U.S. dollar reserve remained around $5.10 billion, leaving total dollar-denominated assets of roughly $6.4 billion.

The company still has significant financial flexibility.

Strategy has approximately:

$1.05 billion remaining under its preferred-stock repurchase authorization

$1 billion authorized under its separate common-stock repurchase program

These resources give the company room to continue supporting its capital structure.

However, repeatedly financing buybacks from operating cash cannot continue indefinitely without new funding, asset sales or renewed capital-market activity.

Why Strategy’s Bitcoin buying machine has slowed

There are several possible explanations for Strategy’s pause in Bitcoin accumulation.

The first is that the company cannot raise new capital at sufficiently attractive terms.

If issuing shares becomes dilutive or debt financing becomes too expensive, buying additional Bitcoin becomes harder.

The second possibility is that management simply does not want to purchase Bitcoin near current levels.

Strategy’s average Bitcoin cost is around $75,412, while BTC has recently traded only modestly above that level.

Management may prefer to wait for a more attractive opportunity.

The third explanation is capital allocation.

Strategy may believe preferred-stock repurchases offer a better return than additional BTC purchases at current prices.

The latest filings appear to support this third interpretation.

Strategy’s original Bitcoin model is currently inactive

Strategy’s corporate Bitcoin strategy historically depended on a repeating financial cycle.

The company would trade at a premium to its underlying Bitcoin holdings, raise capital through stock issuance, use those funds to buy Bitcoin and potentially increase BTC exposure per share.

Several parts of that cycle are currently inactive.

The company’s valuation premium has narrowed.

Common-share issuance has stopped.

Bitcoin accumulation has paused.

As a result, Strategy’s Bitcoin holdings remain fixed at 845,050 BTC.

At the same time, the share count is also not expanding, meaning existing shareholders are at least avoiding dilution during the pause.

MSCI dispute creates another risk

Strategy is also dealing with uncertainty surrounding its possible treatment by MSCI.

Michael Saylor and CEO Phong Le have asked MSCI to withdraw a proposed index rule that could remove Strategy from certain global benchmarks.

Index inclusion is important because passive investment funds automatically buy shares of companies included in the benchmarks they track.

If Strategy were removed from major indexes, that automatic source of demand could decline.

The company would then rely more heavily on investors making an active decision to own MSTR shares.

This issue becomes more important while Strategy is simultaneously avoiding common-stock issuance and spending cash to support preferred securities.

Strategy is defending its capital structure

Taken together, several recent actions suggest Strategy is currently focused on protecting its financial structure.

The company is buying back preferred stock.

It is avoiding additional common-share dilution.

It is defending its eligibility for important stock-market indexes.

Meanwhile, Bitcoin accumulation has stopped.

None of these actions necessarily indicate financial distress.

They can also be viewed as rational balance-sheet management during less favorable market conditions.

But they represent a different operating posture from the aggressive Bitcoin accumulation strategy investors became accustomed to.

STRC at $100 could restart the strategy

One factor that could change the picture is STRC returning to or above its $100 stated value.

Strategy’s preferred-stock buyback program is partly designed to support the security near par.

If STRC trades above $100, Strategy could potentially issue preferred shares at favorable prices again.

The proceeds could then be used to purchase Bitcoin.

That would recreate a version of the company’s original capital-raising cycle, but using preferred securities instead of common shares.

A higher MSTR premium could restart equity issuance

Another potential catalyst would be a stronger premium in Strategy’s common stock.

If MSTR begins trading significantly above the value of the company’s underlying Bitcoin holdings again, issuing new shares could become more attractive.

Strategy could then raise capital without creating as much dilution for existing shareholders.

That capital could potentially be directed toward new Bitcoin purchases.

For now, however, management appears unwilling to issue shares under current market conditions.

Higher Bitcoin prices could improve Strategy’s position

Bitcoin itself remains another important variable.

Strategy’s average BTC acquisition cost is approximately $75,412.

If Bitcoin rises significantly above this level, the value of the company’s existing holdings would increase.

That could strengthen credit metrics, improve investor sentiment and make future financing easier.

In that scenario, Strategy could simply maintain its current position while Bitcoin appreciation improves the company’s financial flexibility.

This is essentially the passive option: defend the balance sheet, hold the existing Bitcoin and wait for higher prices.

Other treasury companies are still buying crypto

Strategy’s pause is not being mirrored across the entire corporate crypto treasury sector.

Other companies continued accumulating digital assets during the same period.

Strive, for example, purchased 469 BTC between Sept. 8 and Sept. 11 at an average price of approximately $77,954.

Its Bitcoin holdings reached 25,000 BTC.

Meanwhile, DeFi Development Corp continued expanding its Solana position and introduced a new at-the-market program linked to its preferred stock.

BitMine has also continued pursuing its large Ethereum accumulation strategy.

This suggests Strategy’s pause is specific to its own capital structure and market conditions rather than evidence that all corporate crypto treasury companies have stopped buying.

What Strategy shareholders should watch

The next several Strategy filings could provide important clues about whether the current pause is temporary or represents a longer-term shift.

The first thing to watch is the company’s at-the-market program.

If common-share issuance resumes, it would indicate that Strategy once again sees attractive opportunities to raise capital.

Investors should also watch how quickly the remaining $1.05 billion preferred-stock repurchase authorization is used.

STRC’s movement relative to its $100 stated value will also be important.

If the preferred security returns above par, Strategy could potentially begin issuing preferred stock again rather than repurchasing it.

Bitcoin’s position relative to Strategy’s $75,412 average acquisition cost is another key factor.

A strong BTC rally would improve the value of Strategy’s existing holdings and potentially make future financing easier.

Finally, the MSCI decision could affect demand for MSTR shares if index eligibility changes.

What comes next for Strategy?

Strategy remains one of the largest corporate Bitcoin holders in the world, with 845,050 BTC on its balance sheet.

But its current behavior is noticeably different from the aggressive accumulation strategy that defined the company for years.

Bitcoin purchases have stopped.

Bitcoin sales remain at zero.

Common-share issuance has also stopped.

Instead, cash is being directed toward preferred-stock repurchases.

That strategy can be financially rational because buying STRC below par reduces future dividend obligations at an attractive effective return.

At the same time, it highlights a broader change in Strategy’s operating model.

For now, the company appears more focused on strengthening and defending its capital structure than increasing its Bitcoin holdings.

Whether that changes will likely depend on Bitcoin prices, the valuation of MSTR shares, STRC’s return toward par and Strategy’s ability to raise capital under attractive terms.

Disclaimer: This article is for informational and educational purposes
